TalentLoft Terms of Service

1. Acceptance of Terms

By accessing or using the TalentLoft website, platform, or any associated services ("Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

TalentLoft ("TalentLoft," "we," "us," or "our") reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement.

3. Description of Services

TalentLoft provides a digital platform and professional services that connect clients with fractional, contract, or on-demand specialists and related design, consulting, or technology expertise. The Services may include (but are not limited to):

Talent profile creation and management
Project or engagement matching
Business inquiries and communications
Resource planning, analytics, and professional content

TalentLoft reserves the right to modify, suspend, or discontinue any Service or feature at any time.

4. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

Provide accurate, current, and complete information.
Maintain confidentiality of your credentials.
Notify us immediately of any unauthorized access or use of your account.

TalentLoft is not liable for losses arising from your failure to safeguard account information.

5. User Conduct and Responsibilities

You agree not to:

Use the Services for unlawful or fraudulent purposes.
Post or transmit content that is defamatory, obscene, discriminatory, or infringing.
Reverse engineer, decompile, or attempt to extract source code.
Interfere with or disrupt network security, servers, or systems.

TalentLoft reserves the right to suspend or terminate access for any violation of these Terms.

6. Intellectual Property

All content, materials, and intellectual property on the TalentLoft website—including text, design elements, graphics, logos, videos, and software—are owned by TalentLoft or its licensors and are protected by copyright, trademark, and other applicable laws.

You may not reproduce, distribute, or modify any content without prior written consent. Permitted uses are limited to personal or internal business purposes directly related to TalentLoft Services.

7. User-Generated Content

If you upload or submit materials ("User Content"), you grant TalentLoft a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services.

You represent and warrant that your User Content does not infringe any third-party rights and complies with applicable law.

8. Fees and Payments

Some Services may involve fees or subscriptions. All fees are disclosed prior to purchase. Payments are due as stated in the order or engagement agreement. Late or non-payment may result in suspension of access.

TalentLoft uses secure third-party payment processors; payment information is handled according to our Privacy Policy.

9. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed in the course of business. Confidential information may be used only for the purpose for which it was provided and shall not be shared without written consent, except as required by law.

10. Data Protection and Privacy

Your privacy is governed by the TalentLoft Privacy Policy, incorporated herein by reference. By using the Services, you consent to the collection and use of your information as described in that policy.

11. Third-Party Services and Links

Our Services may contain links to or integrations with third-party tools such as Microsoft Clarity, Google Analytics, or other vendors. TalentLoft does not control and is not responsible for these third parties. Your use of third-party services is governed by their respective terms and privacy policies.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available." TalentLoft makes no representations or warranties, express or implied, regarding the accuracy, reliability, availability, or suitability of the Services for any purpose. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, TalentLoft and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability for all claims shall not exceed the amount paid by you to Talent Loft in the six (6) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless TalentLoft, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Services.

15. Termination

TalentLoft may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, all rights and licenses granted to you under these Terms will cease immediately.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia.

17. Dispute Resolution

Before initiating any formal proceedings, you agree to attempt to resolve disputes informally by contacting legal@talentloft.com. If the dispute is not resolved within 30 days, either party may pursue arbitration or legal remedies in accordance with Section 16.

18. Changes to These Terms

TalentLoft may update these Terms at any time. Updates will be posted on this page with the new effective date. Your continued use of the Services constitutes acceptance of the revised Terms.
